1. Acceptance of Terms

By accessing or using LiquidCortex ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Definitions

• "Service" refers to the LiquidCortex platform, including all AI employees, features, and functionality.
• "User" refers to any individual or entity that accesses or uses the Service.
• "AI Employee" refers to the AI-powered agents provided through the Service.
• "Neural Credits" refers to the usage-based currency used to access AI Employee capabilities.
• "Content" refers to any data, text, or materials you upload to or create using the Service.

3. Account Registration

To access certain features of the Service, you must create an account. When you create an account, you must provide accurate and complete information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You agree to: (a) immediately notify us of any unauthorized use of your account; (b) keep your password confidential; and (c) accept responsibility for all activities that occur under your account.

4. Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

This license does not include the right to: (a) sublicense, resell, or redistribute the Service; (b) modify or create derivative works; (c) use the Service for any illegal purpose; or (d) access the Service in a manner that could damage or overburden our systems.

5. Restrictions

You agree not to:

• Use the Service to violate any applicable laws or regulations
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to generate content that is illegal, harmful, or violates third-party rights
• Share your account credentials with unauthorized third parties
• Circumvent any technical limitations or access restrictions

6. Payment Terms

Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as expressly stated in these Terms.

We may change our prices at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

Neural Credits are consumed as you use the Service. Unused Neural Credits do not roll over to the next billing period unless otherwise specified in your plan.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by LiquidCortex and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any Content you upload to the Service. By uploading Content, you grant us a limited license to process that Content solely for the purpose of providing the Service to you.

8. Privacy & Data

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your information.

We do not use your Content to train AI models. Your data is processed only to provide the Service and is protected by enterprise-grade encryption.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIQUIDCORTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LiquidCortex and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may request a copy of your data within 30 days of termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
